EQT Corp said Monday it has agreed to acquire Range Resources in an all-stock transaction valued at more than $50 billion, a deal the companies said will create the largest vertically integrated natural gas producer in the United States, according to Reuters. The combined company is expected to produce more than 9 Bcfe/day, according to Seeking Alpha and a regulatory filing mirrored by StockTitan.
Deal Terms
Under the merger agreement, each outstanding share of Range common stock will be exchanged for 0.987 shares of EQT common stock, according to the filing reported by StockTitan and confirmed by Reuters. Once the deal closes, EQT's existing shareholders are expected to own approximately 73% of the combined company, with Range shareholders holding the remaining 27%, per both outlets.
Regulatory Approvals and Expected Timeline
The transaction is expected to close in the first quarter of 2027, subject to required regulatory approvals and clearances, approval by shareholders of both companies, and other customary closing conditions, according to the StockTitan filing and Reuters. Closing is conditioned on the expiration or termination of all waiting periods under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, or any government commitment to delay the transaction, defined in the merger agreement as the "HSR Act Condition," per the filing. EQT and Range have also agreed to use reasonable best efforts to complete the merger, including divestitures and other remedies as may be necessary to obtain antitrust clearance, subject to certain limitations in the agreement, the filing states.
Either party may terminate the merger agreement if the deal is not consummated by October 25, 2027, described in the agreement as the "End Date." That date is automatically extended to April 25, 2028 if all closing conditions other than the anti-injunction and HSR Act conditions have been satisfied or waived, according to the filing.
Termination Fees
The agreement includes termination fee provisions in both directions. If the deal is terminated under specified circumstances, Range will owe EQT $423 million, while EQT will owe Range $1,148 million, according to the StockTitan filing. Termination rights outlined in the agreement include a breach of representations, warranties or covenants that cannot be cured by the End Date, as well as a change or failure to reaffirm board recommendation by either company before the required shareholder vote, per the filing.
Projected Synergies, Credit Profile and Cash Flow
According to the companies' statements in the filing, the combined entity projects $325 million of base annual synergies within two years across corporate operations and commodities marketing, with a longer-term pathway to more than $600 million from development and infrastructure optimization and improved marketing margins. EQT said the transaction further strengthens its balance sheet and is expected to provide BBB-quality credit metrics at closing, per the filing.
EQT also projects the deal will improve its unlevered free cash flow breakeven to less than $2 per MMBtu while increasing NGL diversification, and that cumulative free cash flow for the combined company is projected at approximately $20 billion over the next five years at recent strip pricing, according to the filing. These are company-provided projections tied to current strip pricing assumptions rather than guaranteed outcomes, and actual results will depend on commodity prices and execution.
The companies said the combined business will have more than 9 Bcfe/d of net production and more than 30 years of inventory across nearly 3 million net acres, along with more than 3,700 miles of midstream infrastructure, per the filing.
Leadership, Board and Advisors
Following closing, EQT has agreed to expand its board to 12 members and appoint Range CEO Dennis L. Degner along with one additional independent director selected by Range, according to the filing. Citi and RBC Capital Markets advised EQT, with Kirkland & Ellis serving as legal counsel. Evercore acted as lead financial advisor to Range, with J.P. Morgan Securities also advising and Gibson, Dunn & Crutcher serving as Range's legal counsel, per the filing.
EQT CEO Toby Z. Rice said the combined company will be "uniquely positioned for the next era of natural gas," citing "exceptional resilience through commodity cycles" as the lowest-cost producer in the industry, according to the filing. Range CEO Dennis L. Degner said the combination "creates opportunities to build long-term value neither could fully realize independently" and that Range's board unanimously determined the transaction would enhance shareholders' ability to participate in the long-term natural gas and NGL outlook, per the filing.
Market Reaction
Range Resources shares jumped 15.3% in pre-market trading Monday following the announcement, according to Seeking Alpha.
Bottom Line
The EQT-Range combination, as described in company statements included in the regulatory filing, would create what the companies call the largest vertically integrated natural gas producer in the United States, with projected base annual synergies of $325 million within two years, BBB-quality credit metrics at closing and roughly $20 billion of cumulative free cash flow over the next five years, according to the filing. Those are company projections tied to recent strip pricing assumptions rather than assured outcomes, and the deal still requires antitrust clearance under the Hart-Scott-Rodino Act and shareholder approval at both companies before its targeted first-quarter 2027 close.
