Proofpoint, a portfolio company of private equity firm Thoma Bravo, has entered a definitive agreement to acquire data and AI security provider Varonis Systems in an all-cash transaction valued at approximately $6.3 billion, according to StorageNewsletter and CyberScoop. Under the terms of the deal, Varonis shareholders will receive $49.75 per share in cash.

The $49.75-per-share offer represents a 17% premium over Varonis' closing stock price of $42.35 on September 1, 2026, the last trading day before additional media reports speculated about a potential sale, StorageNewsletter reported. The outlet also reported that the transaction values Varonis at approximately 53x "L Free Cash Flow" and 8.4x "L Revenue," using the abbreviations as published. Interpretation: comparing those two reported figures, the free-cash-flow multiple sits 44.6 turns above the revenue multiple (53 - 8.4), a relative difference of roughly 531% ((53 - 8.4) / 8.4 x 100). That is a straight arithmetic comparison of the two reported multiples, not a forecast and not an implied causal relationship between the metrics.

The Varonis Board of Directors unanimously approved the transaction, according to StorageNewsletter and CyberScoop. Varonis CEO Yaki Faitelson said the agreement followed "a comprehensive evaluation led by a committee of independent members of our Board of Directors, which included extensive outreach to a range of potential strategic and financial buyers," calling it "an excellent outcome for the company and our shareholders, representing a realization of immediate, significant, and certain value well in excess of the risk-adjusted value of delivering vs. our standalone plan," per StorageNewsletter.

Timeline and Closing Conditions

The deal is expected to close in the first half of 2027, subject to customary closing conditions, including approval by Varonis shareholders and receipt of regulatory approvals, both StorageNewsletter and CyberScoop reported. Reuters had reported in September that Proofpoint was in discussions to acquire Varonis Systems, according to WMBD Radio, ahead of the formal announcement. Upon completion, Varonis' common stock will cease trading on the Nasdaq and the company will become private, StorageNewsletter reported.

Financing and Ownership Structure

Thoma Bravo is providing committed equity financing and has secured debt financing commitments to fund the purchase, according to StorageNewsletter. Ontario Teachers' Pension Plan has also agreed to make an investment into Proofpoint in connection with the transaction, the outlet reported. The deal follows Thoma Bravo's own 2021 agreement to take Proofpoint private in a transaction that valued the cybersecurity firm at about $12.3 billion, WMBD Radio reported.

Integration Plans

Following the close, Proofpoint intends to move quickly to integrate the companies' capabilities, align go-to-market efforts, and accelerate delivery of a combined platform to customers, according to StorageNewsletter. The combined company is expected to serve more than 16,000 enterprises and millions of organizations globally, the outlet reported.

Proofpoint CEO Sumit Dhawan said that "by connecting communications, identities, permissions, data, and AI, we are creating an intelligence advantage that helps customers see risk more clearly, respond faster, and defend vs. the next gen of AI risks," per StorageNewsletter. CyberScoop reported that Proofpoint's existing reach includes 3.4 million customers, 2.37 trillion emails scanned annually, 410 billion data security events ingested, and more than 13,000 sensors across 105 countries, feeding what the company calls a "Knowledge Graph." Combined with Varonis' visibility into sensitive data, the companies envision this as a foundation for discovering and remediating risks at machine speed, CyberScoop reported.

The acquisition extends a recent pattern of dealmaking for both companies. Per CyberScoop, Proofpoint acquired AI security startup Acuvity in February for undisclosed terms, following its acquisition of German Microsoft 365 security provider Hornetsecurity in a deal reportedly worth more than $1 billion. Varonis, for its part, acquired AI security firm AllTrue.ai for $150 million, CyberScoop reported.

Advisors and Market Reaction

Goldman Sachs & Co. LLC acted as exclusive financial advisor and Paul Hastings LLP as legal counsel to Varonis, according to StorageNewsletter. BofA Securities, Morgan Stanley, J.P. Morgan Securities, UBS Securities, and Mizuho Securities USA served as financial advisors to Proofpoint, with Kirkland & Ellis LLP as legal counsel, the outlet reported.

Varonis shares were up about 2% in extended trading following the announcement, WMBD Radio reported.

Bottom Line

The agreement would combine two established cybersecurity players under Thoma Bravo's ownership, pairing Proofpoint's email and threat-detection footprint with Varonis' data-security platform. The transaction still requires Varonis shareholder approval and regulatory clearance, with closing targeted for the first half of 2027. As with any pending acquisition, the terms and timeline described here reflect the agreement as announced and remain subject to the conditions outlined by the companies and their advisors.
