3M said it has expanded its commercial relationship with Amazon and granted the retailer a seven-year warrant to buy about 3.2 million shares of 3M stock, worth more than $521 million, with vesting tied to Amazon's purchases of 3M data-center products, according to a securities filing reported by Morningstar and Yahoo Finance. The disclosure came as 3M reported third-quarter results that beat Wall Street estimates and raised its full-year 2026 guidance, Yahoo Finance reported.

Warrant Terms and the Expanded Amazon Agreement

3M said it entered the expanded strategic commercial relationship with an Amazon subsidiary on Monday, October 19, while granting the warrant to a separate Amazon subsidiary, according to a filing with the Securities and Exchange Commission cited by Morningstar. Under the terms disclosed in that filing, about 85% of the warrant shares vest as Amazon pays for 3M data-center products, including optical connectivity products, with full vesting occurring once Amazon's cumulative payments reach $6 billion. The remaining 15% of the shares vest based on separate, event-based milestones that 3M did not detail publicly. The filing did not disclose the warrant's exercise price or a specific timetable for reaching the $6 billion purchase threshold, and neither company has published projected dilution figures from full exercise of the warrant.

Q3 Results Beat Expectations

3M posted third-quarter earnings per share of $2.50, above the $2.39 analysts had expected, Yahoo Finance reported. Adjusted operating margin came in at 26.2%, compared with an analyst estimate of 25.2%, a gap of one percentage point, or roughly 4%, by our calculation (26.2 minus 25.2, divided by 25.2). CEO William Brown said, "We delivered another quarter of strong results, including solid sales growth, continued margin expansion, double-digit EPS growth, and robust free cash flow," adding that "Improving productivity through structural transformation and a stronger pipeline of differentiated technologies reinforce our confidence in the full-year outlook and long-term growth and margin potential," according to the company's remarks reported by Yahoo Finance.

2026 Guidance Raised

3M raised its full-year 2026 earnings guidance to a range of $9.10 to $9.15 per share, above the $8.93 consensus estimate, Yahoo Finance reported. The company also guided to adjusted total sales growth of more than 4.5%, including adjusted organic growth of more than 3.5%, with adjusted operating cash flow of about $5.9 billion and adjusted free cash flow of about $4.8 billion. 3M's public remarks on the guidance update, as reported by Yahoo Finance, did not break out how much of the increase is attributable to data-center-related demand versus pricing or cost actions, nor did they specify an implied fourth-quarter earnings figure.

Market Reaction

3M shares closed 1.66% lower at $162.01 on Monday, then rose 5.43% to $170.80 in extended trading following the warrant disclosure, according to AOL. A separate report from Morningstar put the after-hours gain at a smaller 3.7%, to $168. Yahoo Finance noted that 3M shares also rose in premarket trading ahead of the earnings release itself, and that the move followed the Amazon warrant announcement rather than the quarterly results.

Context: A Broader Pattern of Hyperscaler Warrants

The 3M-Amazon arrangement follows a similar warrant Amazon received last month tied to Generac, where the warrant grant equated to almost 3% of Generac's outstanding shares against a market capitalization of about $10.3 billion, according to CNBC and Briefs.co. Both deals come amid a broader data-center capital spending cycle: U.S. hyperscalers could spend $916 billion on capital expenditures over the next 12 months, rising to nearly $1.2 trillion the following year, according to estimates from Apollo Global Management cited by AOL. Apollo also estimates data-center capital expenditure could reach roughly 3.1% of U.S. GDP in 2027, compared with a peak of 1.2% for telecom investment during the dot-com boom, the same estimates show.

Bottom Line

3M's third-quarter beat and raised 2026 guidance were paired with a warrant whose vesting is tied to Amazon's actual payments for 3M data-center products, including optical connectivity products, rather than to a fixed schedule. Interpreting the reported sequence: the Monday after-hours move preceded the earnings release, so it appears tied to the Amazon disclosure rather than the quarterly numbers — an inference from the reporting, not a statement by either company. Key specifics, including the warrant's exercise price, any resulting dilution, and the timeline for reaching the $6 billion purchase milestone, were not disclosed in the reporting reviewed.
