MISTRAS Group has signed a definitive agreement to be acquired by affiliates of H.I.G. Capital in an all-cash transaction valuing the company at roughly $866 million, including outstanding debt, according to a GlobeNewswire release carried by CRWE World. Under the terms disclosed, MISTRAS stockholders will receive $20.35 in cash for every share of common stock they own, and the company's board has unanimously approved the deal, which is expected to close in late 2026 or early 2027.

The company said the $20.35 offer represents a premium of approximately 8% to MISTRAS's 30-day volume-weighted average share price and 13% to its 90-day volume-weighted average share price, both measured for the period ended September 17, 2026, according to the GlobeNewswire announcement and confirmed in a TradingView report citing Seeking Alpha. MISTRAS also framed the offer as inclusive of 61% share-price appreciation since December 31, 2025, a figure reported by both QuiverQuant and RTTNews.

MISTRAS retains the right to terminate the H.I.G. agreement in favor of a superior proposal, subject to a termination fee whose amount was not disclosed in the announcement.
