Character Technologies Inc., the parent company of the Character.AI platform, has commenced a voluntary Chapter 11 case in the U.S. Bankruptcy Court for the District of Delaware, according to a company statement cited by the National Law Review. The filing is intended to facilitate a court-supervised sale of all or substantially all of the company's assets, and the company entered into a prepetition agreement with Disney Worldwide Services, Inc., an affiliate of The Walt Disney Company, to serve as the stalking-horse bidder in that sale, per the same statement.
A court filing estimated Character Technologies' assets and liabilities each in the range of $50 million to $100 million, according to reporting from The Star and TradingView, which cited the court record.
What Disney's $20 Million Bid Covers
Under the agreement described in the National Law Review's account of the company's statement, Disney will serve as stalking-horse bidder for a non-exclusive perpetual license of certain Character.ai intellectual property and certain company claims, in exchange for $20 million plus Disney's provision of transition services using former Character.ai employees it has already hired. AI Weekly's reporting characterized the arrangement the same way: a $20 million payment for a non-exclusive perpetual IP license plus transition services from former staff Disney has hired.
The company said those transition services are meant to help it safely operate the platform for a limited period and to support the broader sale process, per the National Law Review account of the company statement.
Character Technologies has filed a motion for approval of bidding procedures to govern the sale process, with the Disney transaction expressly subject to higher or better offers under section 363 of the Bankruptcy Code, according to the National Law Review and Analytics Insight. Under the timeline set out in the proposed bidding procedures, the company anticipates the sale process and closing of any resulting transactions will occur in late November or early December 2026, per the National Law Review, a date also cited by wtvbam.com's reporting on the filing.
Character.ai has engaged Wilson Sonsini Goodrich & Rosati as legal adviser, Arété Partners as restructuring advisor, and Houlihan Lokey Capital as investment banking advisor; Disney has engaged Skadden, Arps, Slate, Meagher & Flom as legal advisor, according to the company's statement as reported by the National Law Review. Stretto, Inc. is serving as the company's claims and noticing agent, hosting case filings at cases.stretto.com/chartech, per the same statement.
CEO Colin Adams said in the statement, "After a comprehensive review of the available alternatives, the board determined that this court-supervised sale process provides the Company with the best opportunity to maximize value for all stakeholders," adding that "maintaining a safe and engaging user experience for our Character.ai community remains a top priority." The quote appears in the company statement reported by the National Law Review and was also carried by The Star. Adams said the company had "taken meaningful steps to sustain and improve its business in the face of significant legal, regulatory, and operational headwinds" over the past year, per the same statement.
The company also said it filed customary "first day motions" seeking authority to continue paying employee wages and benefits, honor commitments to platform users, and satisfy obligations to vendors and partners incurred after the filing date, according to the National Law Review account. In a separate update posted to its blog, Character.ai told users the platform remains up and running with all services accessible, that paid subscriptions remain active with billing unchanged for now, and that it intends to notify subscribers in advance if service changes affect paid features. The company added that user information continues to be protected under its Privacy Policy, that its data privacy and security practices are unchanged, and that users can delete accounts or export data through the app or website.
If the sale process does not result in a purchase that provides for continuation of the Character.ai platform, the platform will be wound down, according to the company statement reported by the National Law Review and wtvbam.com.
Bottom Line
Based on the reporting cited above, Disney's $20 million stalking-horse agreement sets a floor for a non-exclusive perpetual license of certain Character.ai intellectual property and certain company claims, not for the operating platform itself, and it remains subject to higher or better offers under section 363. AI Weekly framed the open questions as whether any strategic or financial buyer will top $20 million to keep Character.ai running and how pending minor-safety lawsuits travel with the sale; that is analytical interpretation from AI Weekly rather than a company statement. Separately, Analytics Insight reported the proceedings follow growing scrutiny over chatbot safety and potential harm to younger users, with the company having faced legal pressure over allegations involving harmful chatbot interactions; none of the cited reporting establishes that specific litigation triggered the filing.
