Anthropic said on Sunday, October 18, 2026, that it is committing 5% of its shares to a newly created entity called the Anthropic Public Benefit Fund, with a structure that could add more shares as the company's valuation rises, according to Anthropic's own announcement and reporting from CNBC.

What Anthropic Announced

The commitment, which Anthropic says is subject to stockholder approval, sets aside 5% of the company's shares immediately. An escalator clause allows the board to add another 2% of shares, at its discretion, for every 50% increase in the company's value above a set baseline, Anthropic said in its blog post, as reported by Al Jazeera.

Anthropic has not disclosed what that baseline valuation is, according to CNBC. The company said only that it will share more about the fund's structure and governance, including the valuation milestones that may add to its stake, in the coming months, according to its announcement. Interpretation: because no baseline is public, the total share of equity the fund could eventually hold cannot be calculated from what Anthropic has released, and any estimate of the valuation threshold that would unlock the first additional 2% tranche would be speculative.

How the LLC Structure Differs From a Foundation

Anthropic is establishing the fund as a wholly owned limited liability company rather than a 501(c)(3) tax-exempt nonprofit or other format, a choice the company says gives it adjustability between different forms of giving, according to its blog post. That structure, Anthropic said, could allow the fund to explore large donations to traditional nonprofits or direct distributions to specific populations, according to the company's blog post as reported by WSLS.

Anthropic also said none of the Anthropic equity held by the LLC will be used for lobbying or political giving, in the US or abroad, a restriction stated in the company's own post and reported by Al Jazeera. The company framed the equity as an alternative to executive pay, writing that "it is common practice for tech companies to offer escalating compensation awards to their executives" and that "we are instead directing that equity to the public benefit." Combined with the co-founders' pledge to donate 80% of their equity holdings and an employee equity donation match program in which roughly half of employees participate, Anthropic said about 20% of its shares will be dedicated to the public good, plus any additional percentage that could be added if specific valuation milestones are reached, according to its blog post and WSLS. Bottom line: the announcement lands ahead of an initial public offering that CNBC reported is slated for November, and until Anthropic discloses the baseline and milestone thresholds it says it will detail in the coming months, the size of any commitment beyond the initial 5% remains an open question.
