The scale of the facility is significant relative to Anthropic's broader chip commitments. Reuters reports the convertible note could finance about a third of the $125.2 billion Anthropic has committed to a five-year lease of tensor processing unit (TPU) computing capacity. Anthropic also disclosed that it deposited cash into a restricted account for Broadcom's benefit in April 2026 in connection with the convertible debt, and that it may be required to contribute additional amounts in certain circumstances, according to the filing as described by Reuters.
Draw conditions and risk disclosures
The only draw-condition detail Reuters found in the filing concerns default scenarios: Anthropic warned that certain payment or performance defaults could make a substantial portion of its lease obligations immediately due, while simultaneously limiting its ability to use the $42 billion facility to cover those payments. Anthropic also disclosed that Broadcom's dual role as hardware supplier and financing partner creates "potential conflicts of interest" that might affect its access to the computing power it needs, and warned that Broadcom's pricing and hardware decisions could affect its ability to procure enough computing infrastructure, according to the prospectus as described by Reuters. Broadcom did not comment and Anthropic declined to comment, Reuters said. The news agency also reported that Anthropic is expected to become Broadcom's largest compute customer in 2027 and the largest customer in Broadcom's chip design business next year, ahead of a public offering that could value the AI lab at $2 trillion.
